Terms of Service

By creating an account, connecting a shop or otherwise using Thread Studio (the “Service”), you agree to these Terms and acknowledge our Privacy Policy. If you use the Service for a business, you confirm that you can bind that business, and “you” includes it. If you do not agree, do not use the Service.

Thread Studio brings listings, orders, production and shipping for handmade and made-to-order shops into one workspace. Features marked early access may change, and we may add or remove features over time.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your business while your account is active. Linkage, LLC is the sole provider of the Service; Etsy and the other services you connect do not provide, operate or support it.

• Give accurate information and keep your login secure.
• You decide who joins your workspace and what each person can access. You are responsible for activity by people you invite.
• Tell us promptly at [email protected] about any unauthorized use.

• You authorize us to access the services you connect (Etsy, Google Sheets and ShipStation) through their official APIs, within the permissions you approve, to provide the Service. You choose which services to connect and can disconnect them at any time.
• You remain bound by each connected service's own terms and are responsible for having the access you grant us, including any ShipStation plan or API access it requires.
• Changes to your Etsy shop or spreadsheets are written only after you review and approve them. You remain responsible for your listings, orders and compliance with Etsy's Terms of Use and seller policies, including its Creativity Standards.
• Etsy and the other connected services may change or limit their APIs at any time, which may affect the Service. We are not responsible for the availability of Etsy or other third-party services.
• These Terms are between you and us only. They create no obligation on Etsy or any other connected service.

• You own your content and data. You give us permission to host, copy, process and display it only as needed to provide and secure the Service.
• For personal information about your buyers and others that we access through Etsy, Google Sheets or ShipStation, we act as your service provider. See Data processing below and our Privacy Policy, which explains what we collect and how it is used, stored, secured and disclosed.
• You are responsible for having the right to share any data you import from Google Sheets, ShipStation or files.
• When you disconnect a service or close your account, we delete the related data as described in the Privacy Policy. You can request an export first.

This section applies to personal information about Etsy members and other people that we process on your behalf, from any connected service or upload (“Customer Personal Data”). You are the controller (or business); we are your processor (or service provider). We will:

• Process Customer Personal Data only to provide the Service and on your documented instructions, which are these Terms and your use of the Service's settings.
• Not sell or share it, not use it for advertising or marketing, not retain, use or disclose it for any purpose other than providing the Service, and not combine it with personal information from other customers or sources except as the law allows for a service provider.
• Never contact your buyers, and never send order, shipping or tracking information by email, text or other messages.
• Require everyone who processes it for us to keep it confidential.
• Protect it with the security measures described in our Privacy Policy.
• Use only the service providers listed in our Privacy Policy, bind them to equivalent obligations, and give you notice before adding new ones so you can object.
• Help you respond to requests from buyers and others exercising their privacy rights.
• Notify you and Etsy promptly, and no later than 24 hours, after we discover that Etsy member data has been, or is suspected to have been, compromised. For other Customer Personal Data, notify you promptly, and the affected service as its terms require.
• Delete it within 30 days after you disconnect the service it came from or close your account, unless the law requires us to keep it.
• Make available the information you reasonably need to confirm we meet these obligations.

You confirm that you have the right to let us process Customer Personal Data for you and that you give your buyers any notices the law requires. Where the law requires a signed data processing agreement, contact [email protected].

You agree not to use the Service to:

• Break the law, Etsy's Terms of Use and policies, or the terms of any other connected service.
• List or sell items that Etsy's Creativity Standards or Prohibited Items Policy do not allow.
• Infringe anyone's intellectual property or copy other sellers' work.
• Send spam or unsolicited messages to buyers or anyone else.
• Use buyer information from the Service to contact buyers outside Etsy or for marketing.
• Scrape Etsy, manipulate shop statistics or reviews, or work around Etsy's checkout.
• Probe, overload or bypass the security of the Service, Etsy or any other connected service.
• Resell or share access to the Service outside your team.

Thread Studio's AI can be wrong. Review its answers and drafts before you rely on them. Actions it proposes run only after you approve them, and you are responsible for what you approve.

The Service is free during early access. If we introduce paid plans, we will tell you the price before you are charged, and you can choose not to continue. Linkage, LLC, not Etsy, is solely responsible for invoicing and collecting any fees, including applicable taxes, for the Service. Payments are processed by Stripe, and your card details go directly to Stripe.

Etsy may separately charge its listing fee when a listing is renewed, including under auto-renewal settings you approve. Those charges are handled through your Etsy payment account.

• You can stop using the Service and close your account at any time.
• We may suspend or end access if you breach these Terms, if required by law or by Etsy, or to protect users or the Service.
• If we discontinue the Service or its Etsy integration, we will give you at least 30 days' notice and support you while you transition, unless Etsy or the law requires faster action.

DISCLAIMER: THIS APPLICATION IS SOLELY PROVIDED BY LINKAGE, LLC (THE “APPLICATION DEVELOPER”). YOU ACKNOWLEDGE THAT ETSY, INC. AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise the Service will be uninterrupted or error-free.

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. You agree to indemnify us against claims arising from your content or your breach of these Terms.

• These Terms are governed by the laws of the State of Illinois, USA.
• We may update these Terms. For material changes, we will notify account owners before they take effect; continuing to use the Service means you accept them.
• If any part of these Terms is unenforceable, the rest still applies.
